Why would WP 3.4 insist on a database update after 24 hours?

    I had two occasions were this issue surfaced:
    Original installation was WP 3.1
    I did an automatic update to WP 3.4 and all was fine.

    About 24 hours later, I get kicked out of admin panel and when I login, I’m locked out and presented with a message saying WP was recently updated and the DB needs to be updated.

    Following that, I (of course) loose all the site (the DB is now empty).

    What’s going on?
