What is considered "cloning a theme"?

I created a theme intentionally based on part of another site. The layout I am imitating was coded years ago with tables, so my code is entirely different, but the design is visually the same. Does this disqualify my theme from the theme directory, according to the requirement: “All code and design should be your own or legally yours. Cloning of designs is not acceptable” ?
