Upload=No / Asign Media = Yes / How to?

It’s impossible to achieve via manipulation of built-in WordPress user capabilities. You are correct – ‘upload_files’ is the key capability here.

User Role Editor Pro allows to resolve this task. It has an option to force all custom post types to use its own user capabilities set. As an ‘attachment’ is a custom post type too. With this URE Pro option activated Media Library will be use ‘create_attachments’, ‘edit_attachments’, etc. capabilities instead of ‘upload_files’ and ‘edit_posts’ as it does by default. So role without ‘create_attachements’ and ‘upload_files’ will be capable to select from the Media Library existing items and assign them to the post.
