How to keep content when reinstalling wordpress new theme

Hello,
My friend have a blog running an old version of wordpress (3.3) as well as an old theme.
She asked me if I could upgrade it by installing a new theme, however, it’s wordpress core files have been modified and it’s really a real mess, so I would rather start with a fresh install than messing into this thing.With my basic understanding of wordpress, here is what I think I should do to make it work, if anyone can confirm/ correct me please, that would be nice! As I would prefer not to screw everything up ??
– backup everything (obviously :p)
– install a fresh wordpress by using the old infos of the Wp-config.
This way it will use the old database (so all the posts, authors etc.. will be there)
– put back the old WP-content folder, except the theme folder (and maybe plugins?)
– install new theme
– just do the usual theme tweaking.Is this correct?
