Problem with upgrade to 1.2

When trying to upgrade, I get the following:
Fatal error: Cannot redeclare wptexturize() in /public/html/griffey/wp/wp-includes/functions-formatting.php on line 5
I uploaded and just did the “upgrade.php” thing…
No idea what’s going on here. I haven’t dug through the files to see what this is…anyone know so I don’t waste 3 hours digging?
